These Terms of Use (“Terms”) govern your access to and use of the websites operated by Tristate Armature (“Tristate Armature,” “we,” “us,” or “our”), including voltrio.com and shop.voltrio.com (collectively, the “Sites”). By accessing or using the Sites, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Sites.

These Terms apply to both website visitors and customers who place orders through shop.voltrio.com. Additional terms may apply to purchases made through the Shopify platform, including Shopify’s own terms and policies, and any supplemental terms presented at checkout.

Use of the Sites

You may use the Sites for lawful purposes only. You agree not to use the Sites in any manner that could damage, disable, overburden, or impair the Sites or interfere with any other party’s use and enjoyment. You agree not to attempt to gain unauthorized access to any portion of the Sites, other accounts, computer systems, or networks connected to the Sites, whether through hacking, password mining, or any other means.

You are responsible for ensuring that your use of the Sites complies with all applicable laws, rules, and regulations. The Sites are intended for use by individuals located in the United States. We do not target or ship outside the United States.

Accounts and Information You Provide

Certain features may require you to provide information, such as through inquiry forms on voltrio.com or when placing orders on shop.voltrio.com. You agree to provide accurate, current, and complete information and to update it as necessary. If you create or are provided an account on shop.voltrio.com, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You consent to our use of the information you provide consistent with our Privacy Policy. For information about how we collect, use, and disclose personal information, please review our Privacy Policy published on the Sites.

Orders, Pricing, and Payments on shop.voltrio.com

• Pricing and availability: Product descriptions, pricing, and availability are subject to change without notice. We strive for accuracy, but errors may occur. In the event of a pricing or availability error, we may correct the error and, if necessary, cancel or refuse orders affected by the error. If we cancel an order after payment, we will issue a refund.
• Order acceptance: Your submission of an order constitutes an offer to buy. We may accept or reject any order for any lawful reason, including product availability, suspected fraud, or inability to verify information. Acceptance occurs on the earlier of the processing of payment or shipment of the ordered goods.
• Payment processing: Payments are processed by Shopify and its payment partners. By submitting payment information, you authorize the charge for the total order amount. We do not collect or store full payment card numbers submitted through the Shopify checkout.
• Shipping and delivery: Shipping is supported only within the United States. Title and risk of loss pass to you upon our delivery of products to the carrier. Delivery dates are estimates and not guaranteed. We are not liable for delays beyond our reasonable control.
• Taxes: You are responsible for applicable taxes, duties, and fees associated with your purchase, which will be collected where required.
• Returns and exchanges: Any return, exchange, or warranty information will be described on shop.voltrio.com or provided at the time of sale. If not specified, returns may be accepted in our discretion subject to inspection and restocking fees. Custom or special-order items may be non-returnable.
• Customer service: For order questions, contact us using the information provided on shop.voltrio.com.

Product Descriptions; Manufacturer Information

Product descriptions, specifications, images, and other product-related content on the Sites are based on information provided by the manufacturer or supplier. Minor variations in appearance, packaging, or specifications may occur due to production changes or display settings. We disclaim liability for such minor variations, provided they do not materially affect the function or performance of the product.

Warranty Disclaimer; Manufacturer Warranties

TRISTATE ARMATURE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PRODUCTS, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Products sold through shop.voltrio.com are provided subject solely to the manufacturer’s warranty, if any. To the extent available, we will pass through or facilitate the benefit of any applicable manufacturer warranty to you. Any claims relating to product defects or performance should be made under the applicable manufacturer’s warranty terms and procedures.

Marketing and Communications Consent

By providing your email address and/or mobile phone number, you consent to receive transactional communications related to orders and customer service, and, where you separately opt in, marketing communications about Tristate Armature products and services. You may opt out of marketing communications at any time using the methods described in the communication or by contacting us. Opting out of marketing does not affect transactional or administrative messages.

Intellectual Property

All content on the Sites, including text, graphics, logos, images, audio clips, video, data compilations, software, and the compilation of such content, is owned or licensed by Tristate Armature and is protected by U.S. and other applicable intellectual property laws. You may not copy, reproduce, distribute, modify, display, perform, publish, create derivative works from, transmit, or otherwise exploit any content from the Sites without our prior written permission, except for personal, noncommercial use consistent with these Terms.

Trademarks, service marks, and logos used on the Sites are the property of Tristate Armature or their respective owners. You may not use any mark without the owner’s prior written consent.

User Submissions and Feedback

If you submit inquiries, feedback, suggestions, or other content to us through the Sites, you grant Tristate Armature a nonexclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content, in any media, for any lawful purpose, without compensation to you. You represent and warrant that you have the right to grant this license and that your submissions do not infringe the rights of any third party or violate any law.

We may, but are not obligated to, monitor, review, or remove content submitted through the Sites at our discretion.

Third-Party Platforms and Links

shop.voltrio.com is operated on the Shopify platform. Your use of shop.voltrio.com and its checkout is subject to Shopify’s terms and privacy policy. We are not responsible for third-party websites, platforms, or services, including their content, policies, or practices. Links or integrations are provided for convenience and do not imply endorsement.

Privacy

Your use of the Sites is subject to our Privacy Policy, which explains how we collect, use, and disclose information, and when third-party Privacy Policies such as Shopify’s control. The Privacy Policy is incorporated into these Terms by reference.

Prohibited Conduct

You agree not to:

• Use the Sites for any fraudulent or unlawful purpose.
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with or disrupt the operation of the Sites or any servers or networks used to make the Sites available.
• Use any robot, spider, scraper, or other automated means to access the Sites for any purpose without our prior written permission.
• Introduce or transmit any virus, malware, or other harmful code.
• Attempt to circumvent or compromise security features or access controls.
• Infringe, violate, or misappropriate any intellectual property or other rights.

We may terminate or suspend your access to the Sites for any violation of these Terms or for any other lawful reason at our discretion.

Disclaimers

The Sites and all content, products, and services made available through the Sites are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the Sites will be uninterrupted, secure, or free of errors, viruses, or other harmful components, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties; to the extent prohibited by law, such exclusions may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, Tristate Armature and its affiliates, officers, directors, employees, agents, and suppliers are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Sites, products, or services, even if advised of the possibility of such damages. Our total liability to you for any claim arising out of or related to the Sites or these Terms shall not exceed the amount you paid, if any, for products purchased through shop.voltrio.com that gave rise to the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow limitations of liability for certain damages; to the extent prohibited by law, such limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Tristate Armature and its affiliates, officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Sites, your violation of these Terms, or your infringement or misappropriation of any rights of another.

Compliance with Laws; U.S.-Only Use

The Sites are intended for use by individuals located in the United States. We ship only within the United States and do not target non-U.S. individuals. You are responsible for complying with all applicable laws when accessing or using the Sites and purchasing products.

Termination

We may, in our sole discretion and without notice, terminate or suspend your access to all or part of the Sites for any lawful reason, including violation of these Terms. Upon termination, your right to use the Sites will immediately cease.

Force Majeure

We are not liable for any delay or failure to perform (including, without limitation, delays in fulfillment or delivery) to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, government orders, labor disputes or strikes, shortages of materials or transportation, failures of third-party carriers or suppliers, power outages, cyber incidents, or other events of a similar nature. If a force majeure event occurs, performance will be excused for the duration of the event, and we may allocate available inventory among customers in our reasonable discretion.

Changes to the Sites and Terms

We may update, modify, or discontinue any aspect of the Sites at any time. We may update these Terms from time to time. When we make changes, we will update the Effective Date at the top of these Terms. Your continued use of the Sites after changes take effect constitutes your acceptance of the revised Terms.

Governing Law; Venue

These Terms and any dispute arising out of or related to the Sites are governed by the laws of the State of Tennessee, without regard to its conflict of law principles. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Sites shall be the state and federal courts located in Shelby County, Tennessee, and you consent to the personal jurisdiction of such courts.

Notice and DMCA Policy

If you believe content on the Sites infringes your copyright, please send a notice to our designated agent with the following information:

• A description of the copyrighted work;
• Identification of the allegedly infringing material and its location;
• Your contact information;
• A statement that you have a good-faith belief the use is not authorized;
• A statement under penalty of perjury that the information is accurate and that you are authorized to act; and
• Your signature.

Severability; Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision will be deemed severed and will not affect the validity and enforceability of the remaining provisions. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented at checkout or for specific programs, constitute the entire agreement between you and Tristate Armature regarding your use of the Sites and supersede all prior or contemporaneous communications and proposals.
